Attorneys in Strasburger's antitrust practice area represent a variety of large and small business clients in antitrust counseling, governmental proceedings, and civil and criminal litigation. These attorneys advise clients on antitrust distribution and pricing issues, and offer counsel on antitrust issues regarding joint venture arrangements, research and development programs, and other competitor cooperative arrangements. They also prepare, review, and revise antitrust compliance programs and presents those programs to senior management and sales personnel of clients. Antitrust audits, review and revision of antitrust compliance forms, and updating of antitrust compliance manuals are also performed by this practice area. The firm's antitrust attorneys are active in acquisitions and mergers. Activities include the analysis of antitrust and competition issues in mergers, the preparation, filing and processing to conclusion Hart-Scott reports including the retention of economists, accountants and other professional personnel, and the presentation to and negotiation with the FTC, Department of Justice, and State Attorney Generals regarding antitrust merger issues. Our attorneys also represent clients during grand jury, CID, or other governmental investigations, including the representation of clients in administrative proceedings relating to antitrust issues. The firm has successfully represented clients on antitrust issues in a number of merger transactions. These include the merger of two large hospitals (each of which had their own physician medical group) and the acquisition and multi state spin-off of the dairy operations of Borden, Inc. These representations included work with the FTC, Department of Justice and State Attorney Generals and the negotiation and implementation of contract provisions and consent decrees to resolve antitrust concerns. The firm has also successfully represented a number of clients in debarment proceedings before federal agencies based on investigations and charges of price fixing and bid rigging in those industries. The firm has assisted a client in developing a product promotional agreement by which the client obtains the exclusive right to promote its product in various locations for multi year periods. The firm tried and won an antitrust price fixing class action, involving more than 52,000 class members, in an industry where the market leader had been criminally convicted of price fixing. The damages claimed by the plaintiff class exceeded $990 million.
