Tom Burton represents clients in the business and corporate law areas, including mergers and acquisitions; securities; corporate formation; contract preparation, review and negotiation; and loan documentation, preparation and review. He has significant experience with transactions in the health care area.
Mr. Burton has been named a "Texas Rising Star" in Mergers & Acquisitions and Business/Corporate Law in 2006, 2007 and 2008 by Texas Monthly magazine and Texas Super Lawyers – Rising Stars Editions, March 2006, April 2007 and April 2008.
REPRESENTATIVE EXPERIENCE
- Mergers and Acquisitions – Represented public and private clients in connection with large and small acquisitions and dispositions of stock and assets of companies. Recent transactions include:
- Sale of more than 45 Whataburger restaurants.
- Sale of publicly traded health care company.
- Purchase of chain of pawn shops.
- Sale of aircraft ventilation company to British conglomerate involving various export compliance issues, including ITAR.
- Purchase of 15 behavioral health facilities for health care company.
- Sale of a chain of airport FBO operations to Australian conglomerate.
- Antitrust Counseling – Handled "second request" and gained clearance for transaction involving sale of publicly traded health care company.
- HSR Filings – Prepared and submitted pre-merger notification filing and received clearance under the Hart-Scott-Rodino Act for multiple transactions. Recent filings include:
- Purchase of offshore support vessel company.
- Purchase of chain of pawn shops.
- Sale of publicly traded health care company.
Contract Preparation and Review – Drafted, reviewed and/or negotiated employment, independent contractor, consulting, distribution, physician services, managed care, lease, loan, non-disclosure and other types of agreements.
Entity Formation – Assisted many clients in connection with formations of Texas and Delaware corporations, limited liability companies, limited partnerships and other entities.
Public Company Securities Filings – Assisted public clients with preparation and review of various securities filings, including Forms 10-K, 10-Q, 8-K, 14A, 14C, 13e-3, S-8, 3, 4 and 5.
Private Securities Offerings – Drafted multiple private placement memoranda and subscription documents for Regulation D private offerings.
Loan Documentation – Represented several banking clients in connection with documentation and negotiation of loan transactions.
Health Care Regulatory Issues – Assisted large hospital client with various state and federal regulatory filings, including state licensing, Medicare and Medicaid.
Bond Financing – Assisted large hospital client in connection with tax exempt financing in which the firm served as borrower’s counsel.
