ENVIRONMENTAL

  • Successfully defended an international company against natural resources damages claims asserted by the Attorney General in regard to a former chemical manufacturing site in New Jersey
  • Successfully defended clients in statutory citizen suits filed in Texas, New Jersey, and California
  • Executed environmental and real estate diligence and risk analysis for portfolios of REIT sale/lease-back commercial and industrial properties
  • Designed and executed audits of environmental management systems (EMS) for chemical and plastics manufacturing facilities in the U.S., Mexico, and Europe
  • Negotiated multiple agreements for access to neighboring properties to affect environmental clean-ups
  • Represented a major U.S. retailer in an environmental indemnity claim against a multi-national oil company that resulted in a significant recovery for the client

  • Defended midstream maritime transportation company for severe personal injuries suffered on barge and secured 75% comparative fault finding and nominal damages award
  • Defended an offshore supply boat company for injuries sustained by a passenger and secured a 90% comparative fault finding and a damages award that was a fraction of the pre-trial offer
  • Defended a crew company for injuries sustained by a third party and secured a 90% comparative fault finding and a damages award that was a fraction of the pre-trial offer
  • Defended a shipyard security and fire watch company in a burn and wrongful death action arising from a fire on a jackup rig, and secured a take-nothing jury judgement
  • Represented vessel owner in a two-week arbitration related to the construction of two articulated tug/barge (ATB) units involving claims in excess of $39 million
  • Defended a seismic surveying contractor in a multi-plaintiff case where property damage was alleged to have been caused by their activities and secured a no liability finding for the contractor and the client oil company
  • Represented seller of steel wire mooring ropes against claims in excess of $160 million for the loss of and damage to mobile offshore drilling units
  • Represented offshore rig designer against claims in excess of $15 million for the alleged misappropriation of trade secrets related to a rig design
  • Represented dock owner against multi-million dollar personal injury claim involving traumatic brain injuries
  • Represented rig repair shipyard against a claim in excess of $45 million arising out of a fire to a customer’s jackup rig
  • Represented marine terminal operator in prosecuting a claim against vessel owners/charters for demurrage and delay damages

TRANSPORTATION

  •  Represented numerous short line railroads and public agency rail line owners in transaction negotiations and STB regulatory proceedings involving the lease, acquisition, and/or operation of railroad lines or companies
  • Assisted a series of energy related companies in drafting, reviewing, and negotiating rail service agreements with Class I and short line rail carriers
  • Advised developers of railroad served industrial sites on in dealings with Class I or other rail carriers including the regulatory and environmental implications of constructing new or expanded facilities
  • Represented a large energy company and railroad customer in a dispute with an unregulated railroad switching carrier over track access and related compensation
  • Represented a short line railroad client in the review and revision of a series of agreements for the storage and cleaning of tank cars owned by leasing companies
  • Advised major electric transmission line owner about acquiring easements and licenses from railroads
  • Assisted an insurance company client in denying liability coverage for leased railroad tank cars that were destroyed in the Lac Megantic derailment in Canada
  • Represented the largest owner of used locomotives in the United States in each of its refinancing transactions over the past 20 years;  work involved title searches at the STB and preparation of opinions of counsel as well as assisting with the drafting of documents and working with present or past lenders
  • Represented short line railroads, railroad customers, and public agencies in virtually all of the major railroad mergers during the past 20 years; work involved litigation or negotiations seeking trackage rights or market access, protective conditions, or other competitive relief;  merger applicants included Burlington Northern/Santa Fe, Union Pacific/Southern Pacific, Canadian National, Canadian Pacific/Delaware & Hudson, CSX Transportation, Norfolk Southern Railway, and Consolidated Rail Corporation
  • Represented client in obtaining approval from the Federal Communications Commission for license assignments and transfers of corporate control for industrial entities that hold mobile radio licenses
  • Represented clients before five different public agency, port authority, and short line railroad clients to obtain STB authority to construct and operate new lines of railroad; involved obtaining support from rail customers and local communities as well as preparing economic testimony and satisfying numerous permitting requirements under the National Environmental Policy Act and the National Historic Preservation Act.

  • Advised sellers and purchasers on tax aspects of business acquisitions involving both strategic and financial purchasers
  • Advised clients on tax aspects of reorganizations of corporate and partnership entities
  • Prepared tax disclosures for debt and equity offering documents involving a variety of transactions, including oil and gas exploration and development, hedge funds and private equity, and alternative energy
  • Served as special tax counsel to issuer on $450 million SEC registered offering of tax advantaged convertible notes

  • Evaluated new inventions for patentability in view of the state of the art in oil/gas technology
  • Provided counseling and opinions regarding evaluation of scope of competitor’s patents, freedom to operate, and infringement avoidance
  • Represented large and middle market energy companies in patent, trademark, copyright and misappropriation of trade secret litigation
  • Provided counseling and opinions to large and middle market energy companies for decades on worldwide patent freedom to use opinions including recent successful worldwide patent litigation avoidance counseling
  • Represented large and middle market energy and transportation companies in obtaining and maintaining worldwide patent protection, including claim and specification drafting, inventor and examiner interviews, and office action responses.
  • Provided patent expertise in the areas of oil field, well logging, and formation evaluation tools, including resistivity, nuclear logging, acoustics, nuclear magnetic resonance, gamma ray spectroscopy, seismic data acquisition, and telemetry systems

LABOR & EMPLOYMENT

  • Prepared employment agreements for executives and staff employees to address issues between parties
  • Obtained a temporary injunction against a former branch manager after a multi-day hearing and later secured permanent injunctions against former manager and competitor prohibiting competition with oilfield services client within 150 miles of client’s branch location in Andrews, Texas and a six-figure monetary judgment against the former manager
  • Rejected settlement offers and secured a complete dismissal of a lawsuit brought by a former branch manager against oilfield services client for alleged breach of an employment agreement and wrongful termination in the 161st Judicial District Court in Ector County, Texas
  • Reviewed analysis of manager and executive employment agreements for oilfield services client
  • Prepared affirmative action plans for clients and helped assess compliance issues

BANKRUPTCY, WORKOUT & RESTRUCTURING

  • Represented exploration and production company in the bankruptcies of multiple oilfield service companies.
  • Represented debtor in Chapter 11 of a publicly-traded E&P company, resulting in the successful acquisition of the company
  • Represented general contractors and subcontractors in refinery and chemical plant bankruptcies
  • Represented oil field service companies in enforcing mineral lien rights against insolvent customers
  • Represented several marine transportation companies as creditors of bankrupt customers, addressing issues arising out reclamation and administrative claims, executory contracts, voidable preferences, and asset purchases

TRANSPORTATION

  •  Represented numerous short line railroads and public agency rail line owners in transaction negotiations and STB regulatory proceedings involving the lease, acquisition, and/or operation of railroad lines or companies
  • Assisted a series of energy related companies in drafting, reviewing, and negotiating rail service agreements with Class I and short line rail carriers
  • Advised developers of railroad served industrial sites on in dealings with Class I or other rail carriers including the regulatory and environmental implications of constructing new or expanded facilities
  • Represented a large energy company and railroad customer in a dispute with an unregulated railroad switching carrier over track access and related compensation
  • Represented a short line railroad client in the review and revision of a series of agreements for the storage and cleaning of tank cars owned by leasing companies
  • Advised major electric transmission line owner about acquiring easements and licenses from railroads
  • Assisted an insurance company client in denying liability coverage for leased railroad tank cars that were destroyed in the Lac Megantic derailment in Canada
  • Represented the largest owner of used locomotives in the United States in each of its refinancing transactions over the past 20 years;  work involved title searches at the STB and preparation of opinions of counsel as well as assisting with the drafting of documents and working with present or past lenders
  • Represented short line railroads, railroad customers, and public agencies in virtually all of the major railroad mergers during the past 20 years; work involved litigation or negotiations seeking trackage rights or market access, protective conditions, or other competitive relief;  merger applicants included Burlington Northern/Santa Fe, Union Pacific/Southern Pacific, Canadian National, Canadian Pacific/Delaware & Hudson, CSX Transportation, Norfolk Southern Railway, and Consolidated Rail Corporation
  • Represented client in obtaining approval from the Federal Communications Commission for license assignments and transfers of corporate control for industrial entities that hold mobile radio licenses

LABOR & EMPLOYMENT

  • Prepared employment agreements for executives and staff employees to address issues between parties
  • Obtained a temporary injunction against a former branch manager after a multi-day hearing and later secured permanent injunctions against former manager and competitor prohibiting competition with oilfield services client within 150 miles of client’s branch location in Andrews, Texas and a six-figure monetary judgment against the former manager
  • Rejected settlement offers and secured a complete dismissal of a lawsuit brought by a former branch manager against oilfield services client for alleged breach of an employment agreement and wrongful termination in the 161st Judicial District Court in Ector County, Texas
