The firm assists clients in all aspects of real estate, including construction loans, commercial financing, mortgage lending, acquisitions and sales of commercial real estate, leasing, and landlord-tenant matters. Examples of the developments in which the firm has been involved include apartment complexes, hotels, office buildings, shopping centers, industrial sites, mixed-use developments, condominium developments, residential and commercial subdivisions, and undeveloped land. In addition, our attorneys practice in the areas of leasing and counseling regarding operational issues related to the management of properties, as well as, negotiating loan workouts, debt restructuring and conducting foreclosure sales. We actively assist clients in forming joint ventures, general partnerships, limited partnerships, limited liability companies and corporations for the acquisition and operation of real estate. Many clients ask us to assist in various tax credit programs such as historical preservation tax credits and low and moderate income housing tax credits.

In representing clients, the work of our real estate practice integrates with tax, estate planning, environmental, construction, municipal, and bankruptcy law attorneys within the real estate team in structuring entities to undertake various real estate activities, working with municipalities on development issues, analyzing environmental risks and addressing the employment, corporate and trust issues that arise in the course of such undertakings, and workouts and reorganization of real estate entities. We also handle the litigation and bankruptcy needs of clients in real estate disputes, condemnation matters, and ad valorem tax disputes, as well as lobbying before local, state and federal governmental and regulatory entities.

REPRESENTATIVE ACCOMPLISHMENTS

Represented a building material manufacturer in a multi-million dollar lease of approximately 70 acres, including all improvements. This multifaceted, novel transaction was a unique partnership involving the client and the Texas General Land Office (GLO), resulting in the first-time use for a private sector facility of authority recently granted to the GLO to assist with economic development in the State of Texas.

Represented the purchaser of the old EDS tract which, at the time of the transaction, was the largest undeveloped tract in North Dallas south of LBJ Freeway in an all cash acquisition. This transaction was recognized by the Dallas Business Journal as one of the biggest real estate transactions of the year.

Represented the seller of a 98,000 square foot office building located on 1.035 acres of land situated on Central Expressway in a cash and seller financed note transaction. This property is one of the largest office buildings on Central Expressway north of Mockingbird and south of LBJ Freeway.

Represent one of the nation's ten largest owners and operators of retirement service centers. We structured and closed a credit facility with a REIT in the amount of $38 million for the development and leasing of several retirement service centers. We continue to provide principal real estate representation for this client in its ongoing national expansion.

Represented the owner of a major new apartment project in obtaining a first lien conduit loan of $19,600,000 and a mezzanine loan of $2,500,000 secured by a pledge of partnership interests in the borrower.

Assisted in the sale of a single tenant office building complex in Austin that has appreciable environmental issues involved due to the nature of the current tenant's business operations.

Represented a lender in making an acquisition and refurbishment loan for two apartment projects in Pasadena, Texas.

Represented a quick serve restaurant franchisee in the sale of the operations and assets of their five stores back to the franchisor and of the lease of the five restaurant buildings to the franchisor. The transaction also involved modification of the franchisee's indebtedness to its lender.

Represent a major childcare center company in the acquisition of day care centers throughout the country. Acquisitions have been in Texas, Maryland, and New Jersey.

Represented a lender in connection with a $24,000,000 construction loan in Houston, Texas.
