General Tax Planning

Strasburger regularly gets involved with tax planning for individuals and businesses. The tax planning in these areas focuses on avoiding or mitigating adverse tax consequences while maximizing tax benefits.

  

BUSINESS TAX PLANNING

Strasburger has significant experience in all aspects of business tax planning. Our lawyers focus on the taxation of corporations (C corporations and S corporations) and their shareholders, partnerships and partners, limited liability companies and their members, and other entities and their owners. As part of our business tax planning, we routinely advise clients on taxable and tax-free acquisitions, dispositions, mergers, and reorganizations, and real estate, financing, debt restructuring and leasing activities of businesses. In addition, we advise on bankruptcy tax matters, including restructuring under bankruptcy and counseling on the use of corporate tax attributes in bankruptcy. Strasburger is also experienced in advising clients on like-kind exchanges, public and private offerings of securities, joint ventures, venture capital investments, business formations and general business tax matters. Our lawyers also closely monitor legislative activity in the tax area to ensure tax planning tracks changes and anticipated changes in tax laws. Our clients include mid-size and small private and publicly held companies in various industries.

  

INDIVIDUAL TAX PLANNING

Strasburger provides counseling on individual tax issues, including planning for personal tax matters and transactions for individual’s business tax matters. Such counseling and consultation frequently involves advice on making and exiting investments in a tax-efficient manner, review of tax strategies, bankruptcy tax issues, and purchasing and selling of businesses through a tax-efficient structure.

  

   

REPRESENTATIVE TRANSACTIONS

  • Handled tax aspects of corporate inversion and restructuring transaction for major international manufacturing group, including obtaining favorable IRS ruling on spin-off necessary to accomplish restructuring.
  • Successfully negotiated and implemented tax advantageous exit of a U.S. manufacturing group from a strategic joint venture with a major Japanese conglomerate.
  • Assisted a U.S. manufacturing group with making significant acquisitions in Mexico and Chile, including the structuring of the acquisition of a series of foreign companies involving a combination asset and stock purchase structure using hybrid entities resulting in a $17 million bottom line savings compared with the stock acquisition contemplated in the original letter of intent.
  • Handled tax aspects of a number of taxable and tax-free acquisitions and divestitures, including rendering tax opinions thereon.
  • Prepared and negotiated joint venture (LLC) agreements for entities established with third parties to obtain and operate franchises as franchisees.
  • Assisted with international master franchise or license agreements for Mexico, and certain Middle Eastern and European countries.
  • Assisted with all legal and tax aspects of expansion into an international market for a national home products corporation.
  • Negotiated and prepared documents to implement significant corporate partnering transaction for major dairy products operation.
  • Structured and negotiated tax incentive package for a Fortune 500 Company which is presently resulting in an annual tax benefit exceeding $1 million.
  • Lead tax support on three party sale of $200 million of insurance settlement proceeds, including tax planning and analysis of transaction.
  • Participated in tax team to plan, structure, and negotiate the tax aspects of large business combination between a partnership and S corporation.
  • Participated in tax planning and analysis of large oil company bankruptcy.
  • Provided tax advice to principals in the sale of their privately owned company. Transaction aggregated approximately $120 million in value.
  • Provided tax advice in connection with a series of asset acquisitions by a privately owned company which aggregated in excess of $10 million in value.
  • Provided tax advice to publicly held computer company in the assets acquisition of a second computer company. Transaction aggregated approximately $120 million in value.
  • Provided tax advice to publicly held computer company in the sale of a majority owned subsidiary. Transaction aggregated approximately $25 million in value.
  • Provided tax advice to an individual in the sale of interests in a privately owned company. Transaction aggregated approximately $100 million in value.
  • Provided tax advice to the management group of a privately owned company in the sale of the company to a new investment fund, and in the purchase by the management group of equity in the company. Transaction aggregated approximately $40 million in value.
  • Provided tax advice and structuring in creation of $255 million corporate joint venture that included multiple classes of preferred equity interests.
  • Representation of many small business owners regarding purchases and sales of businesses.
